TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By engaging the services of Do It Right Bookkeeping LLC ("we," "our," or "us") or accessing our website, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services or website.

2. DESCRIPTION OF SERVICES

Do It Right Bookkeeping provides bookkeeping services, financial record-keeping, and related advisory services to businesses and individuals. Specific services will be outlined in a separate service agreement or engagement letter.

3. CLIENT RESPONSIBILITIES

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for the performance of our services

  • Review all work products and communications promptly

  • Maintain appropriate backup of your financial data

  • Pay all invoices according to the payment terms agreed upon

  • Communicate any concerns or issues promptly

4. OUR RESPONSIBILITIES

We agree to:

  • Perform services with reasonable skill and care

  • Maintain confidentiality of your information

  • Comply with applicable laws and regulations

  • Communicate important matters related to your financial records

  • Provide access to your financial information as outlined in our service agreement

5. FEES AND PAYMENT

Fees for our services will be as agreed upon in our service agreement or engagement letter. Unless otherwise specified:

  • Invoices are due upon receipt

  • Late payments may incur additional charges

  • We reserve the right to suspend services for non-payment

  • Fees may be adjusted with prior notice

6. TERM AND TERMINATION

The term of our services will be as specified in the service agreement. Either party may terminate the agreement:

  • As provided in the service agreement

  • With written notice as specified in the agreement

  • Immediately in case of material breach by the other party

Upon termination, you agree to pay for all services rendered up to the termination date.

7. CONFIDENTIALITY

We will maintain the confidentiality of all client information and will not disclose such information except:

  • As authorized by you

  • As required by law

  • As necessary to perform our services

8. INTELLECTUAL PROPERTY

All materials, reports, documents, and software provided by us remain our intellectual property. You are granted a non-exclusive license to use these materials for your internal business purposes only.

9. LIMITATION OF LIABILITY

Our liability is limited to the fees paid for the services giving rise to the claim. We shall not be liable for any indirect, special, incidental, or consequential damages.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Do It Right Bookkeeping and its employees from any claims, damages, liabilities, costs, or expenses arising from your breach of these Terms or your use of our services.

11. FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Idaho, without regard to its conflict of law provisions.

13. AMENDMENTS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or direct notification to you.

14. ENTIRE AGREEMENT

These Terms, together with any service agreement or engagement letter, constitute the entire agreement between you and Do It Right Bookkeeping regarding our services and supersede all prior agreements and understandings.
